HaulBlock Terms of Use
1. What HaulBlock is
HaulBlock ("we", "us") operates an online auction marketplace for commercial vehicles at haulblock.com. We provide the venue. We are not a dealer, broker, agent, auctioneer of record, or party to any sale. We do not own, inspect on our own account, take title to, take possession of, or take payment for any vehicle listed here.
Every vehicle is sold by its owner ("Seller") directly to the winning bidder ("Buyer"). The contract of sale is between them. Our only charge is the buyer fee described in section 5.
2. Accounts
You must be 18 or older and legally able to enter a contract. You must give accurate information and keep your sign-in secure. One person or business, one account; we may refuse, suspend or close accounts at our discretion, including for the conduct in section 9.
Bidding requires a valid payment card on file. Adding a card authorizes us to place holds and charge the buyer fee as described below.
3. Listings and the vehicle file
Sellers are responsible for the accuracy of everything in their listing, and warrant that they own the vehicle or are authorised to sell it, that they own or have permission to use every photo, that the photos are unretouched and not AI-generated or edited in any way that changes how the vehicle appears, and that they have disclosed every known material defect, damage, or title problem.
We write listing copy from what the Seller gives us and from their answers to our questions. The Seller approves the listing before it goes live and adopts it as their own statement about the vehicle. Our editorial phrasing is not an appraisal, certification or endorsement.
Before a listing goes live we check what we say we check: that the title is in the Seller's name, a lien search, a vehicle history report, and the vehicle's federal roadside inspection record where one exists. These checks are not a warranty. They report what those sources say on the day we ran them. Records can be wrong, incomplete or out of date, and a clean record is not a statement about the vehicle's condition.
Any inspection shown on a listing is performed by an independent third party, not by us. We publish inspection findings as received and do not remove findings at a Seller's request.
Every vehicle is sold AS IS, WHERE IS, with all faults. Buyers are responsible for satisfying themselves as to condition before bidding. We encourage an independent inspection.
4. Bidding
- Bids are binding offers to buy and cannot be retracted.
- Sellers may not withdraw a vehicle after bidding opens, and may not bid on their own listing, directly or through anyone else.
- A bid in the final 2 minutes extends the auction by 2 minutes.
- If a reserve is set, no sale occurs unless it is met. Reserves are not shown.
- Exclusivity while live. A vehicle listed here may not be listed on another auction site or offered elsewhere while the auction is running.
- We may withdraw a listing before or during an auction where we believe it is inaccurate, the title or lien position is not as stated, the vehicle is no longer available, or other grounds. If we do, no sale occurs, no fee is charged, and all holds are released.
- We may extend an auction where a technical fault affected bidding.
5. Fees, card holds and payment
Buyer fee: 4% of the winning bid, minimum $250, maximum $2,500. It is shown before you bid and nothing else is added by us: no documentation, gate, internet, storage or card-processing fee.
When you bid, we place an authorization ("hold") on your card for the fee that would be due if you won. The hold is released when you are outbid, when the auction ends without you winning, or when a lot is withdrawn. If you win, the hold is captured and that is the fee charged. Your bank may take several business days to remove a released hold from your statement — that timing is your bank's, not ours.
Sellers pay nothing to list. Optional services (photography, an independent inspection) are priced separately and disclosed before you buy them.
The purchase price of the vehicle is paid by the Buyer to the Seller directly. We never hold, escrow, transmit or handle those funds. Where a lien must be paid off, or either party wants a licensed intermediary, we can point to a third-party licensed dealer or escrow provider; that arrangement is between you and them.
Taxes, title, registration, apportioned plates and any federal heavy vehicle use tax are the Buyer's responsibility.
5a. If a sale does not complete
If the winning Buyer fails to complete, the Seller is released from any obligation to that Buyer, and we may offer the vehicle to the next bidder or help the parties renegotiate. Any such post-auction deal is a fresh offer that both sides must accept, and the buyer fee applies to it on the same schedule. A buyer fee already charged is not refunded and is not credited against a later sale.
6. After a sale
We give each party the other's contact details. Buyer and Seller are expected to complete the sale promptly: [payment within X business days, collection within Y business days of cleared funds] unless they agree otherwise between themselves.
A Buyer who does not complete remains liable for the buyer fee and may be suspended. A Seller who refuses to complete a sale where the reserve was met may be suspended and may be charged an amount equal to the buyer fee.
We are not a party to any dispute between Buyer and Seller, but we may record the outcome and use it in deciding who may keep using HaulBlock.
7. Your content
You keep ownership of the photos, videos, records and text you upload. You grant us a non-exclusive, worldwide, royalty-free licence to host, display, reproduce and promote that content in connection with the listing and with HaulBlock's own marketing, including after the auction ends. You confirm you have the right to grant that licence.
Public comments and questions are visible to everyone. We may remove content and may edit listings for clarity, accuracy or length.
8. No warranty and limitation of liability
The service is provided "as is". We do not warrant that listings, records, reports or valuations are accurate or complete, or that the service will be uninterrupted.
To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to HaulBlock is limited to the greater of the buyer fee you paid us on the transaction in question or $100. We are not liable for indirect, incidental, special or consequential damages, or for lost profits, lost sales, or the condition, safety, legality or fitness of any vehicle.
9. Conduct that gets you removed
- shill bidding, or bidding you do not intend to honour
- misrepresenting a vehicle, its title, its history or its condition
- attempting to complete a sale off-platform to avoid the fee, after using the platform to find the counterparty
- harassment of other users, scraping, or interfering with the service
- using the service where you are prohibited from doing so by law
10. Electronic communications
By using HaulBlock you agree we may contact you electronically, and that emails we send satisfy any requirement that a notice be in writing. If we add SMS alerts (outbid and closing notices are the obvious candidates), consent must be separate, opt-in, not a condition of bidding, and STOP must work.
11. Copyright complaints
We respond to DMCA notices and terminate repeat infringers. Notices go to designated agent name, address, email, and must include [the statutory elements].
12. Indemnity and release
You agree to indemnify us against claims arising from your use of HaulBlock, your breach of these terms, or your content. If you have a dispute with another user, you pursue it with them, not with us.
13. Time limit on claims
Any claim arising out of HaulBlock must be brought within one year of when it arose.
14. Changes, term, governing law
We may change these terms; material changes will be notified by email and take effect 14 days later, and do not apply to auctions already running.
These terms are governed by the laws of state, and disputes will be resolved in venue / arbitration provider.
15. Accessibility and California notices
We want the site usable by everyone; accessibility problems go to [email protected]. California users: under Civil Code §1789.3 we must publish our name, address and the Department of Consumer Affairs complaint contact.
16. Contact
legal entity name, address, email.
On the address and phone above — email does not substitute for either. Cal. Civ. Code §1789.3 requires the provider of an electronic commercial service to give its California subscribers a name, an address and a telephone number. All three, no alternatives. Separately, the Copyright Office requires a street address to register a DMCA agent, which is the price of §512(c) safe harbour on photos that strangers upload — and that directory is publicly searchable. CAN-SPAM then puts a postal address in the footer of every marketing email, once marketing starts.
So this cannot be a home address, and none of it can be taken back once indexed. A private mailbox from a commercial mail receiving agency is a real street address ("… St, Ste 400") at roughly $10–30 a month and satisfies all of them at once. A PO Box satisfies CAN-SPAM but needs a waiver from the Copyright Office before it can carry the DMCA registration. Registered-agent services cover the state filing and usually may not be used as a business mailing address.
